Digital transformation in the Islamic social finance sector is currently dominated by fundraising efficiency, whereas distribution and governance automation continue to face challenges related to information asymmetry and resource misallocation. This study aims to analyze the potential and formulate a Shariah-Compliant AI Governance Framework to integrate Artificial Intelligence (AI) and Generative AI for optimizing zakat distribution and waqf efficiency in alignment with the Zakat Core Principles (ZCP) and Waqf Core Principles (WCP). This qualitative research employs a Conceptual Framework Building approach alongside an in-depth content analysis of ZCP/WCP standard documents, Shariah rulings (fatwas), and technical AI architecture literature. The findings yield an integrated governance model that combines predictive targeting algorithms for the precise mapping of beneficiary (mustahik) needs, automated real-time impact reporting driven by Generative AI, and a Shariah compliance gate underpinned by the Shariah Human-in-the-Loop (HITL) concept. This framework ensures that AI functions as a decision-support tool while final disbursement authority remains under the oversight of Amil and the Shariah Supervisory Board (DPS) to uphold data privacy ethics (Hifdh al-'Irdh) and wealth protection (Hifdh al-Mal). The practical implication of this study offers strategic guidance for Zakat Management Institutions (LAZ) and Waqf Trustees (Nazhir) to adopt AI technology in
